1. Agreement to Terms

By accessing or using BRIDGE's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access our services.

These Terms constitute a legally binding agreement between you ("Client", "you", or "your") and BRIDGE regarding your use of our professional consulting, liaisoning, institutional coordination, strategic advisory, legal support, and wealth management services.

2. Services Description

BRIDGE provides the following professional services:

• Government liaisoning and institutional coordination
• Official meeting and appointment coordination
• Regulatory and licensing support
• Judicial and legal coordination support
• Public relations and institutional engagement
• Strategic advisory and funding facilitation
• Wealth management coordination and support

All services are provided as professional coordination and liaison support. BRIDGE works in collaboration with licensed professionals, qualified institutions, and regulatory authorities as per applicable statutory requirements.

3. Engagement Process

Initial Consultation

We offer a free initial consultation to understand your requirements. If we determine that your project is not feasible or outside our operational scope, no fee will be charged.

Formal Agreement

Upon mutual agreement to proceed, a formal consulting and liaisoning agreement will be executed outlining:

• Scope of work and deliverables
• Engagement structure and timeline
• Commercial terms and fee structure
• Success criteria and milestones
• Confidentiality obligations

Fee Structure

An initial consulting fee is charged at the commencement of engagement. Success fees may apply upon achievement of agreed milestones, approvals, sanctions, allocations, or project completion as per the executed agreement.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information
• Maintain valid documentation and compliance requirements
• Respond promptly to information requests
• Pay fees as per the agreed commercial terms
• Comply with all applicable laws and regulations
• Maintain confidentiality of engagement details
• Not engage in any illegal or unethical activities
• Cooperate with government authorities and institutional processes

5. Service Limitations and Disclaimers

No Guarantee of Outcomes

While we provide professional coordination and strategic support, we cannot guarantee specific outcomes, approvals, timelines, or results. All project outcomes are subject to:

• Government departmental procedures and policies
• Regulatory compliance and documentation requirements
• Institutional processes and approval workflows
• Judicial proceedings and legal determinations
• Market conditions and external factors

Coordination Role

BRIDGE operates strictly as a coordination and liaison support organization. We do not:

• Practice law or provide legal advice (facilitated through licensed advocates)
• Provide investment advice (coordinated through SEBI-registered advisors)
• Offer financial products (facilitated through RBI-regulated entities)
• Make decisions on behalf of government authorities
• Guarantee approvals or regulatory outcomes

6. Confidentiality

Both parties agree to maintain confidentiality of all information exchanged during the engagement. We will not disclose your business information, project details, or proprietary data to any third party without your explicit consent, except:

• To licensed professionals assisting in service delivery
• To government authorities as required by law
• To institutional partners as necessary for coordination
• With your written authorization

7. Intellectual Property

All content, materials, reports, presentations, and intellectual property created by BRIDGE remain our property unless explicitly transferred in writing. You receive a limited, non-exclusive license to use deliverables for your intended business purpose.

You retain ownership of all information, documents, and materials you provide to us.

8. Limitation of Liability

To the maximum extent permitted by law, BRIDGE shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Delays caused by government departments or authorities
• Changes in government policies or regulations
• Third-party actions or decisions
• Force majeure events beyond our control

Our total liability for any claim shall not exceed the fees paid by you for the specific service giving rise to the claim.

9. Termination

Either party may terminate the engagement with written notice as per the terms specified in the executed agreement. Upon termination:

• All outstanding fees become immediately due
• Confidentiality obligations continue to apply
• Work-in-progress will be delivered in current state
• Both parties must return confidential materials

10. Compliance and Legal Framework

All services are provided within applicable legal and regulatory frameworks including but not limited to:

• Bar Council of India regulations (for legal coordination)
• SEBI regulations (for investment facilitation)
• RBI guidelines (for financial coordination)
• Companies Act and corporate regulations
• Information Technology Act and data protection laws
• All applicable central and state government policies

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation by a mutually agreed mediator
3. Arbitration as per Indian Arbitration and Conciliation Act, 1996
4. Jurisdiction of courts in Mumbai, Maharashtra, India

These Terms are governed by the laws of India.
